Affiliate Program Terms & Conditions

Version 2026-09-19. These terms form a binding agreement between you (“Affiliate”) and ShiSchedule (“we”, “us”). By submitting an affiliate application you accept them.

1. Relationship

You are an independent contractor, not an employee, agent, partner or joint venturer of ShiSchedule. You may not represent yourself as ShiSchedule, sign anything on our behalf, make commitments for us, or speak for us.

2. Acceptance and approval

Applications are reviewed manually. Acceptance into the program is at our sole discretion and may be refused or revoked at any time without cause. Participation begins only once we approve your account.

3. Commission

  • You earn 20% of the amount actually paid on each successful subscription payment made by a customer attributed to you, for as long as that customer keeps paying and remains attributed to you.
  • Commission is calculated on the net amount received, excluding taxes, VAT/GST, discounts, credits and payment-processing fees.
  • No commission is earned on sign-ups, free trials, free plans, $0 invoices, internal accounts, or amounts never collected.
  • We may change the commission rate or program structure prospectively with notice; changes never reduce commission already accrued.

4. Attribution

  • Attribution is recorded when a customer signs up after using your referral link. First link wins: a customer already attributed to another affiliate cannot be reattributed.
  • Attribution depends on the customer’s browser and device. We are not liable for lost tracking caused by blocked storage, cleared data, ad blockers, alternate devices or third-party interference.
  • Our records are the sole and final record of attribution and commission.

5. Holds, reversals and payouts

  • Each commission is held for 30 days to cover refunds and disputes.
  • Refunds, chargebacks, failed payments, fraud and credited invoices reverse the related commission, including after it has been reported to you.
  • Payouts are issued after the hold period once your available balance reaches $50 USD, in USD, to the payment details you supply. Balances under the minimum roll over.
  • You are responsible for supplying correct payment and tax details. We may withhold payment where details are missing, invalid, sanctioned, or where fraud is suspected.
  • Unclaimed balances on accounts inactive for 12 months, and balances below the minimum on closed accounts, are forfeited.

6. Taxes

You are solely responsible for all taxes on your commission, including income tax, GST/HST/VAT and self-employment contributions, and for any required registration and filing in your jurisdiction. Commission amounts are gross of your tax obligations. We may require tax documentation before paying.

7. Prohibited conduct

  • No self-referrals, referrals through accounts you control, or referrals by household members or related entities.
  • No fake accounts, cookie stuffing, forced clicks, bots, incentivised sign-ups, or fraudulent or manipulated traffic of any kind.
  • No spam, unsolicited email or SMS, or any communication breaching CAN-SPAM, CASL, GDPR or comparable laws.
  • No bidding on “ShiSchedule” or confusingly similar terms in paid search, and no ads or domains that impersonate us.
  • No coupon, cashback, deal or discount-code sites without our prior written approval.
  • No false, misleading, guaranteed-result or invented claims about features, pricing, earnings or results. Only claims published on our own site may be used.
  • No use of ShiSchedule on illegal, adult, hateful, defamatory, discriminatory or otherwise objectionable properties.

8. Disclosure

You must clearly and conspicuously disclose your affiliate relationship wherever you promote ShiSchedule, as required by the FTC Endorsement Guides, the Competition Act (Canada) and equivalent rules in your market.

9. Brand use

We grant you a limited, revocable, non-exclusive, non-transferable licence to use our name, logo and approved marketing assets solely to promote ShiSchedule during your participation. You may not alter our marks, register them, use them in your domain, app or handle, or imply endorsement, sponsorship or partnership. The licence ends when your participation ends.

10. Customer data and privacy

Referred customers are our customers. You obtain no rights in their data and must not collect, scrape, store, sell or contact them on our behalf. You must comply with applicable privacy law for any data you collect yourself.

11. Suspension, forfeiture and termination

Either party may terminate at any time, for any reason, with immediate effect. We may suspend your account, withhold pending commission and forfeit unpaid commission where we reasonably determine these terms were breached, including any fraud, prohibited traffic or misleading claim. Commission stops accruing on termination. Sections on taxes, indemnity, liability, and dispute resolution survive.

12. No warranty

The program and our tracking, dashboards and reports are provided “as is” and “as available”, without warranties of any kind. We do not guarantee uptime, tracking accuracy, any level of earnings, or that the program will continue.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or opportunity, however caused. Our total aggregate liability arising out of or relating to the program is limited to the total commission actually paid to you in the six months immediately before the claim.

14. Indemnity

You will indemnify, defend and hold harmless ShiSchedule and its owners, officers and personnel from any claim, demand, loss, liability, fine, penalty, damage or cost (including reasonable legal fees) arising from your promotional activity, your statements or content, your breach of these terms, or your violation of any law or third-party right.

15. Confidentiality

Non-public information you receive through the program — including conversion data, pricing arrangements, roadmap details and program mechanics — is confidential and may not be disclosed or used outside the program.

16. Changes to these terms

We may update these terms. Material changes are published on this page with a new version number and apply to activity after publication. Continued participation after an update is acceptance of the updated terms.

17. Governing law and disputes

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of Alberta have exclusive jurisdiction. Each party waives any right to participate in a class or representative proceeding. Claims must be brought within one year of the event giving rise to them.

18. General

These terms are the entire agreement on this subject and supersede prior discussions. You may not assign them without our written consent; we may assign them freely. If a provision is unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. No exclusivity or minimum volume is promised by either party.
